Board Activity Update [pause] 00:14 Sunday Folayan: Thank you. Alright, thank you. I'd quickly like to give the board activity updates, and first the board structure. The board is composed of the Board of Directors, which very much is responsible to the community, made up of LIRs, end users and members. We have also with the board, which is made up of the CEO, two independents and six regional members from West Africa, North Africa, Central Africa, East Africa, Southern Africa, and the Indian Oceans. 01:08 Sunday Folayan: We have two alternates, which by the decision of the community, will leave the board at the end of this AGMM. The board has four committees, the audit committee, nominations committee, finance committee and the remunerations and compensation committee. For the regional independent seats, and the other regions, you have them as displayed, and for the CEO who is appointed by the board. So, nine members of the board in all. There is also the two alternates for Southern Africa, Mark Elkins and for East Africa, John Walubengo. Their terms expire at this AGMM here in Tunis. 02:12 Sunday Folayan: The board committees for the finance committee of the board, we have Mark Elkins who chairs Badru Ntege, Sunday Folayan and Alan Barrett, the CEO. And for the audit committee, Andrew Alston, Paulos Nyirenda who chairs the committee, Kris Seeburn and John Walubengo. The remunerations committee has Aminata Garba, who chairs the committee, and Christian Bope, Badru Ntege, Haitham and Alan Barrett, the CEO. There's also the nominations committee that we call NomCom. NomCom has Boubakar Barry as Chair, John there [03:06] ____ as... And Mustapha Ben Jemaa and Aminata Amado as the board representative on NomCom. 03:17 Sunday Folayan: Both proceedings in the course since Mauritius, the board has met 10 times, two face-to-face meetings and eight teleconferences. There was a face-to-face in Mauritius during AFRINIC 21 and here in Tunis during AFRINIC 22. Six of the teleconferences were emergency meetings called to discuss matters that were before the board. There were 12 various resolutions the board adopted in 2014, and this related to the strategic plan, policy, investment policy, delegation of authority, board leadership change, as well as CEO departure and recruitment. 04:11 Sunday Folayan: For the CEO recruitment, a recruitment committee was set up by the board consisting of Haitham El-Nakhal as the Chair, Badru Ntege, Andrew Alston, Sunday Folayan, Paul Nyirenda, and Adiel Akplogan as the secretary. The terms of reference on the committee was put online, and the committee worked to process some documents which became the recruitment process documents. And all these documents were approved by the board and published online. The terms of reference of the recruitment committee, the recruitment process itself, the recruitment timeline, the vacancy announcement, the CEO job description and role. And they're all available online. 05:08 Sunday Folayan: In terms of the management of the process, the board managed the recruitment process. It made all vacancy announcements according to the timeline, and the applications closed on the 19th of December, and thereafter, long listing was done and some candidates selected, informed and invited for preliminary interview. In the course of doing this, the board realized that the process would take far longer than six months, which was the period the outgoing CEO gave as resignation notice. It thus had to appoint an interim CEO. And the interim CEO was appointed after the close of applications. This was done so that the board would not have to appoint someone who was interested in applying for the job. 06:05 Sunday Folayan: And the board did not have to put the interim CEO at a position of advantage if interested in the substantive position. Finally, Patrick Dessee who was then the and still the CFO, Director of... Sorry, Finance in the organization was appointed as the interim CEO. An interview panel was constituted to interview the candidates, and this had Pierre Dandjinou from the Council of Elders as chair, Boubakar Barry who was chosen from the community, Sunday Folayan who is a member of the board together with Badru Ntege and Paulos Nyirenda and Paul Rendek of RIPE, served on the committee having been nominated as a member of the larger RIR community. 07:03 Sunday Folayan: Preliminary interviews were held online and five candidates who were shortlisted were interviewed online. And the final stage interviews took place face-to-face in Mauritius, which had three candidates who were shortlisted after the initial shortlist of five candidates. Finally Alan Barrett was appointed from the final split of three candidates who were interviewed face-to-face, and after contract negotiation. And Alan has since resumed from the 21st of April 2015, and was presented to the staff by the Chair in Mauritius. 07:56 Sunday Folayan: I'd like to offer the following appreciation. First, to the board members who are leaving at this time, especially the alternates because we're phasing out that system, it's another time in the life of AFRINIC when we no longer would have alternate board members. In previous years, we have usually allowed the heads of departments or teams within the staff to provide activity updates at this part of the agenda, however, this year the agenda is so full that we have had to cut back and instead of an hour of reports from different departments, you'll get a very brief report from me. And so, what I've done is I've requested my heads of departments and teams to provide me with an update and I have cut and pasted some of that into what you're about to see.
